Terms of service

These Terms of Service ("Terms") govern the use of the lookupai SaaS and bundled implementation/consulting services (together, "the Service") provided by Jimolab LLC ("we", "us"). By using the Service users ("you") agree to these Terms. This English version is for convenience; in case of any discrepancy the Japanese version controls.

1. Scope

These Terms apply to all relationships between users and us regarding the Service. Any individual terms or guidelines we publish are integrated with these Terms.

2. Service description

The Service is a SaaS that measures and visualises citation status of user-specified sites and keywords across generative AI search engines (ChatGPT, Perplexity, Gemini, Claude, Copilot, etc.), together with related implementation and consulting offerings. Plan details are listed on the pricing page.

3. Contract formation

A service contract is formed when the user submits the sign-up form and we send a notice of acceptance (including auto-reply email). We may decline to accept where:

• The user has previously been suspended or had a contract cancelled for breach of these Terms
• The application contains false information
• The user is, or is closely connected to, antisocial forces
• We otherwise reasonably determine the contract to be inappropriate

4. Fees and payment

Users pay the fees set on our pricing page by the methods we accept (credit card or bank transfer). Monthly plans are billed automatically on the monthly billing date. Annual plans are invoiced for the full year at contract formation.

5. Cancellation

Users may cancel anytime via Stripe Customer Portal or our designated method. On cancellation of a monthly plan, the current month remains usable and charges stop the following month. There is no minimum term and no cancellation fee (annual plans excepted).

6. Late payment

If the user does not pay by the due date, we may charge late-payment damages at 14.6% per annum, and may suspend or terminate the Service without notice. Monthly fees are not reduced during suspension.

7. Prohibited conduct

• Conduct violating law or public order
• Excessive load on our servers or network (queries beyond plan limits, scraping, automated continuous requests, etc.)
• Unauthorised access, reverse engineering or vulnerability scanning of the Service
• Reselling, sublicensing or OEM-providing the Service to third parties without our prior consent (separate reseller contracts available on Pro and above)
• Sharing account credentials with third parties
• Infringing intellectual property, privacy or honour rights of us or third parties
• Other conduct we reasonably determine to be inappropriate

8. Intellectual property

All intellectual property rights in the software, content, trademarks, logos and documentation comprising the Service belong to us or our licensors. Deliverables produced under implementation packages (llms.txt, JSON-LD, Q&A rewrites, etc.) are assigned to the user upon delivery; we may reference such work as a case study, anonymised or with prior consent.

9. Disclaimer

The Service is provided "as is". We make no warranty regarding outcomes obtained by using the Service (improvement of generative-AI citation rates, increased revenue, etc.). Generative AI is probabilistic; we cannot structurally guarantee 100% citation or rank for any specific keyword. Our liability for damages arising from suspension, failure or data loss is capped at the monthly fee for the month in which the event occurred — except in cases of our wilful misconduct or gross negligence.

10. Updates

We may update these Terms without prior individual notice. Updated Terms take effect when posted on the Service. Material updates are notified on the Service or by email to registered users.

11. Governing law and jurisdiction

These Terms and any dispute concerning the Service are governed by Japanese law. The Tokyo District Court has exclusive jurisdiction as the court of first instance.

12. Business transfer

We plan to transfer the Service to our subsidiary AIConnect LLC around August-September 2026. Upon such transfer, contractual position and rights/obligations under these Terms shift to AIConnect LLC, and users agree in advance to such transfer.
